1. Acceptance of Terms

By accessing or using the Podcast Growth Partner platform (the "Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree, do not use the Service.

2. Service Description

The Service is a subscription-based AI-powered podcast growth platform that provides the following features:

Podcast Analysis

Upload a podcast transcript and receive AI-generated analysis including:

• Optimized episode titles, descriptions, and tags
• Social media posts (LinkedIn, Instagram, X/Twitter, Facebook, Threads, TikTok, YouTube Shorts)
• YouTube description with timestamps and SEO optimization
• Newsletter draft and sponsor pitch letter
• Positioning scores and persuasion levers
• Auto-generated chapters and timestamps
• Growth strategy recommendations

Podcast Prep

AI-generated interview preparation for upcoming episodes including:

• Tailored interview questions
• Talking points and discussion angles
• Episode structure and flow recommendations
• Guest introduction script

Mock Interview

AI-powered interactive interview practice with:

• Simulated interview sessions
• Real-time coaching feedback
• Performance evaluation and improvement suggestions

RSS Feed Audit

Parse and audit your podcast RSS feed for:

• Feed health and compliance issues
• Missing or incomplete metadata
• SEO optimization opportunities

Competitor Comparison

Side-by-side RSS feed comparison to:

• Benchmark your podcast against competitors
• Identify gaps in metadata and optimization
• Discover competitive positioning opportunities

Brands and Guest Profiles

Create and manage up to 5 podcast brands and up to 10 guest profiles. Each podcast brand includes:

• Tone and style preferences
• Target audience and niche definitions
• Mission statement and brand positioning
• Signature phrases and forbidden words
• Default calls-to-action
• Signature questions for the beginning, middle, and end of interviews
• Standard intros and outros for episodes and guest segments

Each guest profile stores the bio, links, goals, and email signature you use when pitching yourself or appearing as a guest.

Credits System

• 200 monthly credits included with your subscription
• Credits reset on your billing date each month
• Unused credits do not roll over
• Bonus credits available through promotional codes and referral programs

The Service uses Amazon Bedrock (Claude AI) to generate analysis results.

3. Account Registration

3.1 Eligibility

You must be at least 18 years old and capable of entering into a binding agreement.

3.2 Account Requirements

• Provide accurate and complete registration information
• Maintain the security of your account credentials
• Notify us immediately of any unauthorized use
• You are responsible for all activity under your account

3.3 One Account Per User

Each user may maintain only one account. Creating multiple accounts to circumvent usage limits is prohibited.

4. Subscription Plans and Billing

4.1 Subscription

The Service offers the following paid subscription plans. An active subscription is required to access analysis features. All plans include a 3-day free trial for new subscribers.

4.2 Billing

• Subscriptions are billed monthly or annually in advance
• Payments processed by Stripe
• All prices in USD unless otherwise stated
• Price changes communicated with 30 days notice

4.3 Free Trial

• New subscribers receive a 3-day free trial
• You may cancel during the trial period without being charged
• If you do not cancel before the trial ends, your subscription will begin and you will be billed

4.4 Cancellation

• Cancel anytime; effective at end of current billing period
• No refunds for partial months or unused credits
• Upon cancellation, access to analysis features is revoked

4.5 Failed Payments

• We may retry failed payments according to our payment processor's policies
• After continued failure, your subscription may be suspended
• We are not obligated to notify you beyond payment processor notifications

5. Usage Limits and Restrictions

5.1 Credit Limits

• An active subscription is required to perform analyses
• Subscribers receive 200 credits per month
• Credits reset on your billing date each month
• Unused credits do not roll over to subsequent months
• Bonus credits from promotional codes or referrals are added to your balance and do not expire at the end of the billing cycle

5.2 Transcript Requirements

• Minimum: 100 characters
• Maximum: 150,000 characters
• Must be text content (podcast transcripts, show notes, etc.)

5.3 Rate Limiting

• API requests are throttled at 50 requests/second with 100-request burst
• Excessive automated requests may result in temporary or permanent blocking

5.4 File Uploads

• Text files (.txt) only
• Upload URLs expire after 5 minutes
• Uploaded files auto-deleted after 30 days

6. Prohibited Uses

You agree NOT to:

• Use the Service for illegal, harmful, or abusive purposes
• Upload content that infringes intellectual property rights
• Attempt to reverse engineer, decompile, or extract source code
• Use automated scripts, bots, or crawlers to access the Service beyond normal API usage
• Create multiple accounts to circumvent usage limits
• Attempt to access other users' data or accounts
• Introduce malware, viruses, or other malicious code
• Resell or redistribute the Service without authorization
• Use the Service to generate spam or misleading content
• Interfere with or disrupt the Service or its infrastructure
• Circumvent any technical limitations or security measures

7. Intellectual Property

7.1 Service Ownership

Podcast Growth Partner owns all rights to the Service, including its design, code, features, and branding.

7.2 Your Content

• You retain ownership of all transcripts you upload
• You retain ownership of all analysis results generated from your content
• You grant us a limited license to process your content as necessary to provide the Service

7.3 AI-Generated Content Disclaimer

• Analysis results are generated by AI and may contain errors, inaccuracies, or suboptimal suggestions
• You are responsible for reviewing and validating all AI-generated content before use
• We do not guarantee the accuracy, completeness, or SEO effectiveness of any analysis
• AI-generated titles, descriptions, and tags should be reviewed and edited as needed

7.4 Feedback

Any feedback, suggestions, or ideas you provide about the Service may be used by us without obligation or compensation.

8. Data and Privacy

8.1 Privacy Policy

Your use of the Service is also governed by our Privacy Policy. By using the Service, you consent to our data practices as described therein.

8.2 Data Retention

• Analysis history is retained for 180 days from the date of each analysis
• Upon cancellation, data is retained for 30 days before deletion
• Uploaded files: auto-deleted after 30 days
• Account deletion: all data permanently removed within 30 days

8.3 Data Export

You may access your analysis history through the Service interface. For bulk data export requests, contact us at the email address listed in the Contact section below.

9. Third-Party Services

The Service relies on third-party services:

• Amazon Web Services (AWS): Infrastructure, authentication, AI processing, storage
• Anthropic (Claude AI): AI model powering transcript analysis (via AWS Bedrock)
• Stripe: Payment processing

We are not responsible for the availability, performance, or policies of third-party services. Outages in third-party services may temporarily affect the Service.

10. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY.

WE DISCLAIM ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO:

• MERCHANTABILITY
• FITNESS FOR A PARTICULAR PURPOSE
• NON-INFRINGEMENT
• UNINTERRUPTED OR ERROR-FREE OPERATION
• ACCURACY OF AI-GENERATED CONTENT
• SEO RESULTS OR BUSINESS OUTCOMES

We do not guarantee that:

• The Service will be available at all times
• AI analysis will be error-free or produce optimal SEO results
• Using our suggestions will improve your podcast rankings
• The Service will meet your specific requirements

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

• PODCAST GROWTH PARTNER SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES
• OUR TOTAL LIABILITY SHALL NOT EXCEED THE GREATER OF: (A) THE AMOUNTS PAID BY YOU IN THE PRECEDING 12 MONTHS, OR (B) $100

THIS INCLUDES BUT IS NOT LIMITED TO LIABILITY FOR:

• Lost profits or revenue
• Lost data
• Business interruption
• Reputational harm
• Reliance on AI-generated content

12. Indemnification

You agree to indemnify, defend, and hold harmless Podcast Growth Partner, its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable attorneys' fees) arising from:

• Your use of the Service
• Your violation of these Terms
• Your violation of any third-party rights
• Content you upload or publish based on Service outputs

13. Termination

13.1 By You

You may cancel your subscription and close your account at any time.

13.2 By Us

We may suspend or terminate your account immediately if you:

• Violate these Terms
• Engage in fraudulent activity
• Fail to pay subscription fees after notice
• Use the Service in a way that harms other users or our infrastructure

13.3 Effect of Termination

• Access to paid features ends immediately (or at end of billing period for voluntary cancellation)
• We may delete your data after 30 days
• Provisions that should survive termination (IP, liability, disputes) will survive

14. Dispute Resolution

14.1 Informal Resolution

Before filing any claim, you agree to attempt to resolve the dispute informally by contacting us. We will attempt to resolve the dispute within 30 days.

14.2 Binding Arbitration

If informal resolution fails, all disputes will be resolved through binding arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules.

14.3 Exceptions

Either party may seek injunctive relief in court for intellectual property violations or security breaches.

14.4 Class Action Waiver

You agree to resolve disputes individually. You waive any right to participate in a class action, class arbitration, or representative proceeding.

15. General Provisions

15.1 Governing Law

These Terms are governed by the laws of the State of Florida, without regard to conflict of law principles.

15.2 Entire Agreement

These Terms, together with the Privacy Policy, constitute the entire agreement between you and Podcast Growth Partner.

15.3 Severability

If any provision is found unenforceable, the remaining provisions remain in effect.

15.4 Waiver

Failure to enforce any provision does not constitute a waiver.

15.5 Assignment

We may assign these Terms. You may not assign without our consent.

15.6 Modifications

We may modify these Terms at any time. Material changes will be communicated with 30 days notice. Continued use constitutes acceptance.
